Guide Service Agreement

1. Purpose and Scope

  1. GBAC acts as an intermediary platform, marketing and facilitating bookings for wild camping and day walk trips operated by the Guide.
  2. The Guide is responsible for the delivery and operation of the trips, including holding all necessary insurances and qualifications. The contract for the provision of the activity is concluded directly between the Guide and the end customer, with GBAC acting as a commercial agent and intermediary.

2. Equipment Provision and Responsibilities

  1. At times GBAC may supply kit for use by the Guide with customers on pre-agreed experiences.
  2. Where appropriate, the Guide will review and sign the Equipment Use and Maintenance Agreement.
  3. All equipment remains the property of GBAC.
  4. Failure to return loaned equipment in a reasonable timeframe and in reasonable condition may result in pursuit for costs of lost or damaged equipment.
  5. Return postage costs will be covered by GBAC.

3. Trip Operation and Insurance

  1. The Guide is solely responsible for the management, operation, and delivery of the trips, including:
    1. Holding and maintaining all necessary insurances (public liability, professional indemnity, etc.)
    2. Ensuring all legal and safety requirements are met.
    3. Providing evidence of qualifications and insurance to GBAC as requested.
  2. The contractual relationship for the trip is between the Guide and the end user. GBAC acts as an intermediary and is not the organiser or direct provider of the activity.

4. Marketing and Promotion

  1. GBAC will manage the majority of marketing and promotion for the trips.
  2. The Guide agrees to promote the trips to their own followers via social media where possible.

5. Payments and Commission

  1. GBAC will handle all customer payments and transfer funds to the Guide for each completed trip, in accordance with the rates set out below.
  2. Commission and fee structure by trip type:

  1. Day Walks: GBAC retains a flat admin fee of £5 per booking. The Guide receives the remainder of the customer payment.
  2. Challenge Walks: GBAC retains 15% of the booking value plus a flat fee of £5 per booking.
  3. Overnight Wild Camps: GBAC retains 15% of the booking value plus a flat booking fee of £10 per booking. Where kit hire is taken by the customer, GBAC retains 85% of the kit hire fee. The Guide retains 15% of the kit hire fee in recognition of equipment care and handling responsibilities.
  4. Multi-Day Trips: GBAC retains 15% of the booking value plus a flat booking fee of £10 per booking. Where kit hire is taken by the customer, GBAC retains 85% of the kit hire fee. The Guide retains 15% of the kit hire fee.

  1. Current kit hire fees are £45 for single-night trips and £75 for multi-night trips.
  2. Flat fees are subject to change. GBAC will provide no less than 30 days written notice of any change to flat fee rates.
  3. Payment will be made to the Guide upon completion of each trip.

6. Guide Obligations: Information and Documentation

  1. The Guide must provide GBAC with:
    1. Proof of identity (driving licence or passport)
    2. Proof of address (two utility bills or similar, dated within the last 3 months)
    3. Outdoor Leadership Qualification Certificate
    4. First Aid Certificate
    5. Enhanced DBS certificate
    6. Proof of insurance appropriate to the activities
    7. Bank details for payment
    8. Any other relevant documentation as requested
  2. All personal data and documentation will be stored securely in compliance with GDPR and deleted on request.

7. Prior to Each Trip

The Guide must:

  1. Complete a risk assessment and send to GBAC.
  2. Review the emergency communication plan.
  3. Provide GBAC with information about the planned route and timings.

8. At the End of Each Trip

  1. The Guide must inform GBAC of trip completion. This enables GBAC to raise the alarm should the expected return time be missed.

9. Term and Termination

  1. This agreement remains in force until terminated by either party with 30 days written notice, or immediately in the event of material breach.
  2. Upon termination, all GBAC-owned equipment must be returned in good condition, allowing for reasonable wear and tear.

10. Liability and Indemnity

  1. The Guide is solely responsible for the safety and conduct of all activities, including compliance with all legal and insurance requirements.
  2. GBAC accepts no liability for the operation or delivery of the trips, except in respect of its own negligence as an intermediary.

11. Miscellaneous

  1. This agreement is governed by the laws of England and Wales.
  2. Any disputes shall be resolved in the courts of England and Wales.
  3. Amendments must be made in writing and agreed by both parties.
